1. ACCEPTANCE OF TERMS
1.1 By accessing or using the Local Build platform (the "App"), you agree to be bound by the terms of service herein (collectively, along with the terms of the Privacy Policy, as defined herein, and all other incorporated policies provided herein, the "Terms"), including all incorporated policies (e.g., Privacy Policy). Continued use of the App following updates will act as and will constitute acceptance. Explicit consent is required via an "I Agree" checkbox during onboarding. If you represent an entity, you warrant authority to bind it to these Terms.
2. DEFINITIONS
2.1 "App": Shall have the meaning provided in Section 1.1.
2.2 "Clients": Users seeking contractor services (e.g., homeowners, renters, businesses).
2.3 "Contractors": Users submitting bids for projects.
2.4 "Terms": shall have the meaning provided in Section 1.1.
2.5 "Transactions": All payments, contracts, or agreements conducted off the App between Users.
2.6 "Vetting": Verification of credentials, licenses, insurance, or qualifications, which is solely the User's responsibility.
2.7 "Users": shall mean all Contractors and Clients.
2.8 "User Content": Any data uploaded to the App (e.g., project descriptions, bids, reviews).
2.9 "Third-Party Services": External tools, websites, or payment processors linked through the App.
3. SCOPE OF SERVICES
3.1 Local Build operates strictly as a passive, neutral marketplace to connect Clients and Contractors.
3.2 Explicit Disclaimers:
(a) No Transaction Handling: All payments, contracts, and project execution occur off the App. Local Build does not facilitate, supervise, or guarantee transactions.
(b) No Vetting: Local Build does not verify Contractors or Clients credentials (e.g., licenses, insurance, qualifications). Users must independently vet counterparts.
(c) No Endorsement: Local Build does not endorse, employ, or supervise Contractors or Clients.
(d) Local Build does not:
(i) Provide escrow services, insurance, or dispute resolution;
(ii) Guarantee project safety, quality, or legality; or
(iii) Assume liability for Users' conduct or Third-Party Services.
4. USERS' RESPONSIBILITIES
4.1 Users agree that they shall:
(a) Provide accurate, current, and complete information (e.g., licenses, qualifications) when using the App.
(b) Comply with all applicable laws (permits, zoning regulations, taxes, employment laws); and
(c) Use the App lawfully and in good faith.
4.2 Users acknowledge and agree that the following conduct is prohibited when utilizing the App:
(a) Committing fraud, harassment, spamming, or posting unlawful content;
(b) Misrepresenting qualifications, ownership, or affiliations;
(c) Circumventing the App to avoid fees (if applicable); and
(d) Violating intellectual property rights.
4.3 Users acknowledge and agree that it shall be their sole responsibility to independently:
(a) Vet counterparts (e.g., confirm licenses, insurance, reviews);
(b) Negotiate and execute written contracts outlining scope, payment terms, and timelines off (outside of) the App; and
(c) Ensure compliance with local laws (e.g., permits, safety standards).
5. DISCLAIMERS
5.1 Local Build expressly disclaims liability for:
(a) Users' interactions and resulting contracts from the use of the App including, but not limited to, quality, safety, legality, or outcomes of projects;
(b) Transactions between Users including, but not limited to, payment disputes, breaches of contract, or damages from off-platform interactions;
(c) Third-Party Services including, but not limited to, links, tools, or content not owned by Local Build; and
(d) All and inherent risks of and associated with construction projects. Construction projects may involve physical, financial, or legal risks. Use the App at your own discretion.
6. LIMITATION OF LIABILITY
6.1 To the fullest extent permitted by law:
(a) Local Build's total liability for any claim whatsoever is limited to the lesser of One Hundred Dollars ($100) CAD or fees paid to Local Build in the preceding 12 months; and
(b) The Users acknowledge and agree that Local Build shall not be liability whatsoever for consequential, punitive, incidental, or indirect damages (e.g., lost profits, reputational harm, data loss, physical injury or death) arising from:
(i) Users interactions, App downtime, or Third-Party Services;
(ii) Any contracts or transactions whatsoever resulting from, or facilitated by, a Users' use of the App;
(iii) Misuse of the App; or
(iv) Reliance on User Content.
7. INDEMNIFICATION
7.1 Users agree to indemnify, defend, and hold harmless Local Build, its affiliates, and employees against any claim, loss, cost, demand, damage, cause of action, judgement, expense and legal fees and disbursements on a solicitor and client basis, relating to death, injury, of any kind, or loss of use of or damage to the person or property of any of the following persons or entities: Users, the Users' agents, servants, employees, customers, contractors or any other person for whom the Users are in law responsible arising from:
(a) Users breach of the Terms;
(b) Users misuse of the App;
(c) Users misuse of User Content;
(d) Failure to vet Users or resolve off-platform disputes;
(e) Violation of laws by Users; or
(f) Violation of third-party rights by Users.
8. DISPUTE RESOLUTION
8.1 In the event that a dispute arises between Users:
(a) Users involved in the dispute shall resolve disputes independently without assistance or involvement of Local Build; and
(b) Users agree that Local Build may suspend accounts involved in unresolved disputes.
8.2 In the event that a dispute arises between one or more Users and Local Builds, Users involved in the dispute acknowledge and agree that:
(a) such dispute shall be resolved through binding arbitration in Moose Jaw, Saskatchewan, under the rules of the ADR Institute of Canada, Inc.;
(b) class actions must proceed individually and not as class/representative actions; and (c) Legal actions must be filed in the Court of King's Bench for Saskatchewan.
9. TERMINATION
9.1 Local Build reserves the right to suspend or terminate accounts without notice for:
(a) Users committing fraud;
(b) Users engaged in harassment of any kind, as determined in the sole and unfettered discretion of Local Build;
(c) The violation of Terms by Users; or
(d) Legal or regulatory compliance reasons.
9.2 In the event that Users' account is terminated, Users agreed that Sections 5 through Section 18 shall survive termination.
10. GOVERNING LAW
10.1 The Terms are governed by the laws of Saskatchewan and Canada.
11. AGE RESTRICTION
11.1 Users must be at least 18 years old. Minors are prohibited from using the App.
12. INTELLECTUAL PROPERTY
12.1 Users shall retain ownership of all User Content, however, Users hereby grant Local Build a non-exclusive, royalty-free, worldwide license to use, modify, and display such User Content for App operations.
12.2 Local Build owns all trademarks, logos, software, aggregated data and App content. Unauthorized use of the aforementioned is strictly prohibited.
13. MODIFICATIONS TO TERMS
13.1 Updates will be posted in-app and emailed to registered Users. Continued use 30 days after changes constitutes acceptance.
14. PRIVACY & DATA USE
14.1 Your use of the App is subject to our Privacy Policy, which governs data collection, cookies, and third-party sharing. Local Build complies with Canada's Personal Information Protection and Electronic Documents Act (PIPEDA) and disclaims liability for data breaches caused by Third-Party Services.
15. FORCE MAJEURE
15.1 Local Build is not liable for delays or failures due to events beyond our control (e.g., natural disasters, extreme weather, pandemics, cyberattacks, government actions).
16. NO PROFESSIONAL ADVICE
16.1 Local Build does not provide legal, financial, or construction advice. Consult licensed professionals before making decisions.

17.1 Legal and General Notices of Users are to be provided to Local Build at: (a) [email protected]
18. FINAL TERMS
18.1 Severability: If any clause is invalid, the remainder remains enforceable.
18.2 Entire Agreement: These Terms supersede prior agreements.
18.3 No Waiver: Failure to enforce a provision does not waive it.
18.4 Assignment: Local Build may transfer rights under these Terms.
18.5 Enurement: These Terms and Conditions shall enure to the benefit of and be binding upon the parties hereto and their respective successors and assigns.
ACKNOWLEDGMENT
By checking "I Agree" or using the App, you confirm that you:
1. Are at least 18 years old and legally competent.
2. Understand Local Build's role as a neutral platform with no involvement in transactions, vetting, or disputes.
3. Waive all claims against Local Build for Users interactions, Third-Party Services, or App functionality.
